"Accredited Investor" means any person or entity meeting the criteria defined in the Dutch Financial Supervision Act (Wet op het financieel toezicht - Wft) and relevant EU directives, including professional clients and eligible counterparties.

"Investment Products" refers to collective investment schemes, alternative investment funds, managed accounts, and other financial instruments offered or managed by Trans Group.

"Confidential Information" includes all non-public, proprietary, or confidential information disclosed by Trans Group, including but not limited to investment strategies, portfolio holdings, performance data, and client information.

"Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, database rights, and other proprietary rights.

2.1 Eligibility: The Site and Services are intended solely for persons who are at least 18 years of age and, where applicable, qualify as Accredited Investors or Professional Clients under applicable law. By using the Site, you represent and warrant that you meet these eligibility requirements.

2.2 Permitted Use: Subject to these Terms, Trans Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial informational purposes only.

2.3 Prohibited Activities: You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Site, server, or network

6.2 Investment Decisions: Trans Group expressly disclaims any liability for investment decisions made based on information provided on this Site. You acknowledge that all investment decisions are made at your own risk.

6.3 Force Majeure: Trans Group shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

You agree to defend, indemnify, and hold harmless Trans Group and its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

• Your breach of these Terms or the documents they incorporate by reference
• Your violation of any law or the rights of a third party
• Your use of the Site or Services
• Any content you submit, post, or transmit through the Site

8.1 Applicable Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

8.2 Jurisdiction: Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the competent courts of Amsterdam, the Netherlands. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

8.3 Alternative Dispute Resolution: Prior to initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation or mediation.

Trans Group reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Site.

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
